EaseMyPrompt.ai — Terms of Use

1. Acceptance of Terms

By accessing or using EaseMyPrompt.ai, a platform operated by EaseMyPrompt.ai, a product of Derek AI Labs ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you must not use the platform. These Terms constitute a legally binding agreement between you and the Company under the laws of India, including the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into a contract under the Indian Contract Act, 1872. By using the platform, you represent and warrant that you meet these eligibility requirements.

3. Description of Services

EaseMyPrompt.ai provides a prompt engineering marketplace and AI assistant platform ("Services") allowing users to:

• Browse, purchase, and download AI prompts from the marketplace

• Interact with Derek, an AI-powered prompt engineer, to generate custom prompts

• Create, publish, and sell prompts to other users

• Access prompt templates and resources across various categories

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account. The Company reserves the right to suspend or terminate accounts that violate these Terms.

5. Marketplace Rules

5.1 Buyers

Prompts purchased on the marketplace are licensed for personal and commercial use unless otherwise specified by the creator. You may not resell, redistribute, or sublicense purchased prompts without explicit written permission.

5.2 Sellers / Creators

By listing prompts on the marketplace, you represent that you own all intellectual property rights to the content and grant the Company a non-exclusive, royalty-free licence to display and distribute your prompts on the platform. The Company retains a commission of 20% on each sale, as specified at the time of listing.

Prohibited content includes: prompts designed to generate harmful, illegal, defamatory, or misleading content; prompts that infringe third-party intellectual property; and prompts that violate any applicable law.

5.3 Content Originality

Prompts purchased from the Marketplace may not be resold or re-listed as original work without substantial modification. Any prompt derived from, inspired by, or based on an existing prompt on the platform (whether purchased or freely available) must differ from the original by at least 15–20% in substantive content, structure, and approach before it may be listed for sale. Listings found to be substantially similar to existing prompts without sufficient differentiation may be removed, and repeat violations may result in account suspension. EaseMyPrompt.ai reserves the right to review and reject listings that do not meet this originality standard.

6. Intellectual Property

All platform content, branding, design, and software are owned by EaseMyPrompt.ai, a product of Derek AI Labs and protected under the Copyright Act, 1957 and applicable Indian intellectual property laws. User-generated content remains owned by the respective creator, subject to the licence granted above.

7. Payments and Refunds

Payments are processed through third-party payment gateways. All prices are in Indian Rupees (INR) unless otherwise stated. Purchases of digital prompts are generally non-refundable. Refunds may be considered at our discretion in cases of technical failure or misrepresentation. Seller payouts are processed within 14–30 business days after the cooling-off period.

8. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose under Indian law

• Attempt to gain unauthorised access to any part of the platform

• Reverse engineer, decompile, or disassemble any platform component

• Upload malicious code, spam, or misleading content

• Impersonate any person or entity

• Use the AI assistant to generate content that violates law or public policy

9. Disclaimer of Warranties

The platform and services are provided "as is" without warranties of any kind, express or implied. We do not guarantee that AI-generated prompts will produce any specific results when used with third-party AI tools.

10. Limitation of Liability

To the maximum extent permitted by Indian law, EaseMyPrompt.ai, a product of Derek AI Labs shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the platform. Our total liability shall not exceed the amount paid by you in the three months preceding the claim.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, Maharashtra. You agree to submit to the exclusive jurisdiction of courts in Mumbai for any matters not subject to arbitration.

12. Amendments

We reserve the right to amend these Terms at any time. Continued use of the platform after notice of changes constitutes acceptance. Material changes will be communicated via email or platform notification.
